Terms of Use

The service

Beso provides tools for scheduling, publishing, and managing content across connected third-party social media platforms, along with related features such as content queues, a media library, analytics, AI-assisted content tools, and integrations. The Platform is offered on a subscription basis and depends on third-party platforms and services that are outside our control.

We may add, change, or remove features, platforms, or integrations at any time. We do not guarantee that any particular platform, integration, or feature will remain available.

Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Platform. No access to the Platform is authorized by persons under 18 years of age.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. All information you provide must be true, accurate, current, and complete, and you agree to keep it up to date. By providing your electronic contact information, you agree to receive all required notices electronically at that email address.

Beso reserves the right to choose who it does business with and to refuse, suspend, or terminate any account at any time and without notice or explanation, including where information provided is untrue, inaccurate, not current, or incomplete, or where we reasonably suspect misuse. You may not assign your account or these Terms without our prior written consent, and any unauthorized attempt to assign is null and void.

Subscriptions & billing

Paid plans are billed in advance on a recurring basis (for example, monthly or annually) through our third-party payment processor. By subscribing, you authorize Beso and our payment processor to charge your payment method on a recurring basis until you cancel.

Unless otherwise stated, subscriptions renew automatically at the then-current rates. You may cancel at any time, and cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial periods, unused time, or features not used.

We may change our prices and plans at any time; price changes apply to billing periods beginning after the change. Failure to pay any amount when due may result in suspension or termination of your access.

Connected accounts & third-party platforms

The Platform lets you connect accounts on third-party social media platforms (such as Facebook, Instagram, LinkedIn, X, and Bluesky) and authorize Beso to access and act on those accounts on your behalf, for example, to publish or schedule content and retrieve analytics.

By connecting an account, you represent that you are authorized to do so, and you grant Beso permission to access and use that account as needed to provide the Platform. Your use of each third-party platform remains subject to that platform's own terms and policies, and you are solely responsible for complying with them.

Beso is not affiliated with, endorsed by, or responsible for any third-party platform. We do not control and are not responsible for changes to their APIs, features, availability, pricing, or policies, or for any action a third-party platform takes against your account, including rejecting, delaying, removing, limiting, or suspending content or accounts. You may disconnect a connected account at any time.

Your content & responsibilities

You retain ownership of the content you create, upload, schedule, or publish through the Platform ("Your Content"). You are solely responsible for Your Content and for ensuring that it complies with all applicable laws, regulations, advertising and disclosure rules, and the terms and policies of any platform on which it is published.

You represent and warrant that you own or have all rights necessary to use and distribute Your Content and that it does not infringe or violate the rights of any third party. Beso has no obligation to monitor, and no ability to control, the content you publish, and you waive any claims against Beso arising from Your Content or its publication.

To operate the Platform, you grant Beso a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, reformat, display, and transmit Your Content as necessary to provide and improve the Platform and to publish it to the platforms you direct.

Acceptable use

You agree not to use the Platform to: violate any law or third-party right; post or distribute content that is unlawful, infringing, fraudulent, deceptive, harassing, defamatory, obscene, or otherwise objectionable; send spam or unsolicited or unauthorized advertising; impersonate any person or misrepresent your affiliation; transmit viruses or other harmful code; interfere with, disrupt, or attempt to gain unauthorized access to the Platform, its security features, or related systems; reverse engineer any part of the Platform; or use any robot, scraper, or other automated means to access or extract data from the Platform except as expressly permitted.

We may investigate suspected violations and take any action we deem appropriate, including removing content, suspending or terminating accounts, and cooperating with law enforcement or regulatory requests to the full extent of the law.

AI-assisted features

The Platform may offer features that use artificial intelligence to generate or suggest content. AI output may be inaccurate, incomplete, or inappropriate, and is provided "as is."

You are solely responsible for reviewing, editing, and approving any AI-assisted content before publishing it, and for ensuring that it complies with applicable laws and platform policies. Beso makes no warranty regarding AI-generated output.

Intellectual property

Beso retains all rights, title, and interest in and to the Platform, including all software, content, designs, trademarks, logos, and other intellectual property (excluding Your Content). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.

You may not copy, reproduce, distribute, modify, create derivative works from, or remove any proprietary notices from any part of the Platform without our prior written consent. All rights not expressly granted to you are reserved by Beso.

Third-party links & services

The Platform may contain links to, or integrate with, third-party websites, products, and services that we do not control. Beso is not responsible for their content, privacy practices, terms, or availability, and provides them without endorsement or warranty of any kind. Your use of third-party services is at your own risk and subject to their terms, and you accept sole responsibility for accessing them.

Communications

Beso conducts much of its business electronically. You consent to receive communications from us electronically, including notices, disclosures, and other information, and you agree that electronic communications satisfy any legal requirement that such communications be in writing.

All telephone, electronic, or other communication between Beso and its users is subject to monitoring, recording, and review.

Disclaimers

THE PLATFORM AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BESO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BESO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE SUCCESSFULLY PUBLISHED TO, OR RETRIEVED FROM, ANY THIRD-PARTY PLATFORM.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BESO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL BESO'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO BESO IN THE SIX (6) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

Indemnification

You agree to indemnify, defend, and hold harmless Beso and its affiliates, officers, directors, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to Your Content, your use of the Platform, your connected accounts, your violation of these Terms, or your violation of any law or the rights of any third party. Beso reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Termination

You may stop using the Platform at any time. We may suspend or terminate your access, with or without notice, for any reason, including breach of these Terms. If you wish to end your relationship with Beso, we will remove your account, metadata, and login information from our active records, but may continue to retain information as required by law or for legitimate business purposes.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination, including ownership, disclaimers, limitations of liability, and indemnification, will survive.

Governing law

These Terms and your use of the Platform are governed by the laws of the United States and the State of Colorado, without regard to conflict-of-law principles. Any legal action will be brought exclusively in the state or federal courts located in Colorado. To the fullest extent permitted by applicable law, Beso and its users elect to resolve disputes and claims through arbitration or in the courts rather than before a jury.

Changes

Beso may modify, suspend, or discontinue the Platform or these Terms at any time, with or without notice. If we make material changes, we will post the updated Terms on the Platform and revise the effective date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

If you do not agree with the changes, you must stop using the Platform immediately.
